Dan has stated that for the inital release of S2, you will NOT need a firmware upgrade.

Future versions of S2 may require and upgrade. Aside from very old versions of the 8 channel controllers, all hardware upgrades are done via the Hardware Utility. Owners of those versions will need to send the board to Light-O-Rama for a actual chip replacement. LOR will contact these users directly.
